1. Acceptance of Terms

By accessing and using MenuMate ("the Service"), operated by Mountain Trail Topicals ("we," "our," or "us"), accessible at https://menu-mate.io, you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, please do not use the Service.

Mountain Trail Topicals, operating MenuMate from Village Mansari, PO Haripur, Tehsil Manali, Dist Kullu, Himachal Pradesh - 175136, India, reserves the right to update and change these Terms of Service by posting updates and changes to the Service. You are advised to check the Terms of Service from time to time for any updates or changes.

2. Description of Service

MenuMate provides an AI-powered restaurant management platform that includes:

  • WhatsApp conversational AI ordering system
  • Payment processing integration via Razorpay (India's leading payment gateway) and Business UPI
  • Event management with RSVP and payment collection
  • Staff management and role-based access control
  • QR code generation for tables, orders, and marketing
  • Kitchen Display System (KDS)
  • Analytics and reporting tools
  • Multi-location support (Enterprise tier)

3. Account Registration

3.1 Account Creation: You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials.

3.2 Restaurant Verification: We may require verification of your restaurant's legitimacy, including business registration documents, before activating certain features.

3.3 One Account Per Restaurant: Each restaurant location must have its own account. Multi-location support is available through the Enterprise tier.

4. Subscription and Billing

4.1 Subscription Tiers: MenuMate offers the following subscription tiers:

  • Starter: Rs.1,499/month
  • Growth: Rs.2,499/month
  • Pro: Rs.3,999/month
  • Pro+: Rs.4,999/month

Enterprise plans are available on request.

4.2 Free Trial: New accounts receive a 7-day free trial. No credit card is required for the trial period. If you do not cancel before the trial ends, you will be charged for the selected subscription tier.

4.3 Usage-Based Charges: In addition to the base subscription, certain services incur usage-based charges:

  • AI Chat: Charged per token (rates vary by tier)
  • AI Voice: Charged per character (rates vary by tier)
  • WhatsApp Credits: Charged per message (rates vary by tier)
  • Premium OCR: Rs.10 per image above monthly quota

4.4 Payment Terms: Subscriptions are billed monthly in advance. Usage-based charges are billed at the end of each month. All payments are non-refundable except as specified in our Refund Policy.

4.5 Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date.

5. Payment Processing

5.1 Payment Gateway: All online payments on MenuMate are processed securely through Razorpay Software Private Limited ("Razorpay"), a Reserve Bank of India (RBI) authorized payment aggregator. MenuMate does not store any payment card details, bank account numbers, or sensitive financial information on its servers. All payment data is handled directly by Razorpay in compliance with PCI DSS standards.

5.2 Payment Methods: The following payment methods are supported via Razorpay:

  • Credit Cards / Debit Cards (Visa, Mastercard, RuPay)
  • Net Banking
  • UPI (Google Pay, PhonePe, Paytm, BHIM)
  • Wallets (Paytm, Amazon Pay, etc.)
  • eMandate / Auto-debit for subscriptions

5.3 Platform Fees: MenuMate charges zero platform fees on restaurant order transactions. Event payments incur a 5% platform fee.

5.4 Settlement: Restaurant order payments are settled to your linked bank account within T+2 business days after successful transaction, as per Razorpay's settlement schedule.

5.5 Payment Gateway Fees: Razorpay charges approximately 2% + GST on transactions. These gateway fees are deducted at source by Razorpay before settlement and are non-refundable.

5.6 Subscription Payments: MenuMate subscription fees are charged via Razorpay Subscriptions with auto-renewal. You authorize recurring charges to your selected payment method. You may cancel auto-renewal at any time from your account settings (see our Cancellation Policy).

6. Data and Privacy

6.1 Customer Data: You retain ownership of all customer data collected through the Service. MenuMate processes this data on your behalf to provide the Service.

6.2 Data Security: We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet is 100% secure.

6.3 Privacy Policy: Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. WhatsApp Integration

7.1 WhatsApp Business Account: You must have your own WhatsApp Business Account to use WhatsApp ordering features. MenuMate facilitates the connection through our official WhatsApp Business Solution Provider.

7.2 Compliance: You agree to comply with WhatsApp Business Messaging Policy and Meta's Terms of Service. Violations may result in account suspension.

7.3 Message Limits: WhatsApp imposes rate limits on business messaging. MenuMate is not responsible for message delivery failures due to WhatsApp's limitations.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Send spam, unsolicited messages, or promotional content without consent
  • Impersonate another person or entity
  • Distribute malware or harmful code
  • Interfere with or disrupt the Service
  • Scrape, data mine, or harvest information from the Service
  • Use the Service for any illegal or unauthorized purpose

9. Intellectual Property

9.1 MenuMate Property: The Service, including its software, design, text, graphics, and other content, is owned by Mountain Trail Topicals and protected by copyright, trademark, and other intellectual property laws.

9.2 License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your restaurant's business purposes.

9.3 Your Content: You retain ownership of any content you upload to the Service (menus, images, etc.). You grant us a license to use this content to provide the Service.

10. Termination

10.1 By You: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

10.2 By Us: We reserve the right to suspend or terminate your account if:

  • You violate these Terms of Service
  • Your payment fails or account is past due
  • You engage in fraudulent or illegal activity
  • We discontinue the Service (with 30 days notice)

10.3 Data Retention: Upon termination, your data will be retained for 30 days, after which it may be permanently deleted. You can request a data export before termination.

11. Warranties and Disclaimers

11.1 Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted access to the Service. Maintenance windows may be scheduled with advance notice.

11.2 AI Limitations: The AI ordering assistant is provided "as is" and may occasionally misunderstand customer requests. You should monitor AI interactions and provide human oversight.

11.3 Disclaimer: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOUNTAIN TRAIL TOPICALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

13. Indemnification

You agree to indemnify and hold harmless Mountain Trail Topicals, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service or violation of these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Kullu, Himachal Pradesh, India.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

In accordance with the Information Technology Act, 2000 and the Consumer Protection Act, 2019, the following officer has been appointed as the Grievance Officer for the purpose of addressing any grievances or complaints:
